Deliverables

Upon full payment, you will own the rights to the final deliverables created specifically for you as part of our services, subject to the following:

• We retain the right to use completed projects for portfolio and promotional purposes
• Any pre-existing materials, templates, or tools used remain our property
• Third-party licensed content (stock photos, fonts, etc.) are subject to their respective licenses
• Transfer of ownership occurs only after full payment is received

Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Site without prior written consent, except as necessary for your authorized use of our services.

User-Provided Content

When you provide us with content, materials, or information for project purposes, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing services to you.

We strive to complete all projects within the agreed timeline. However, timelines are estimates and may be affected by factors including:

• Delays in receiving content, feedback, or approvals from you
• Changes in project scope or requirements
• Unforeseen technical difficulties
• Force majeure events

Revisions and Changes

We offer a specified number of revision rounds as outlined in your service agreement. Additional revisions or significant changes to project scope may incur additional fees. All revision requests must be provided in writing within 7 days of deliverable submission.

Limitation of Liability

Indemnification

You agree to defend, indemnify, and hold harmless Omnix Dev, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Termination

Termination by You

You may terminate your account at any time by contacting us. Termination will not relieve you of any obligations to pay outstanding fees for services already provided.

Effects of Termination

Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@omnixdev.com and attempt to resolve the dispute informally. We will do the same before taking formal action.

Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in English in the United States.

Class Action Waiver

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Omnix Dev is registered, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
